Terms & Conditions

These Terms & Conditions apply to every quotation, offer, agreement and service provided by Memonix ("Memonix", "we", "us"), registered with the Dutch Chamber of Commerce (KvK) under number 93172540. By commissioning our services or entering into an agreement with us, you ("Client") accept these Terms. Deviations are only valid if agreed in writing.

1. Services & Quotations

Memonix designs and builds iOS and web applications. All quotations are without obligation and valid for 30 days unless stated otherwise. An agreement is formed once a quotation is confirmed in writing (including by email) or once we begin work at your request. The scope, deliverables and timeline are set out in the applicable quotation or statement of work.

2. Prices & Payment

All prices are in euros (EUR) and, for business clients, exclusive of 21% VAT (BTW) unless stated otherwise. Invoices are payable within 14 days of the invoice date. In case of late payment we may suspend work and charge statutory interest and reasonable collection costs in accordance with Dutch law.

3. Right of Withdrawal (Consumers)

If you are a consumer, you have the right to withdraw from a distance agreement within 14 days without giving reasons. This right does not apply to services that have been fully performed, or to software and digital content produced to your specifications, once performance has begun with your express prior consent and your acknowledgement that you thereby waive your right of withdrawal.

4. Delivery & Acceptance

Delivery dates are indicative and not strict deadlines unless expressly agreed in writing. Deliverables are deemed accepted if the Client does not report substantiated defects in writing within 14 days of delivery.

5. Intellectual Property

Unless otherwise agreed in writing, rights to the delivered work transfer to the Client after full payment. Memonix retains the right to use general knowledge, tools and reusable components developed during the project, and may reference the work as a portfolio item unless confidentiality has been agreed.

6. Liability

Our liability is limited to the amount invoiced for the relevant assignment and, in any event, to the amount paid out under our liability insurance. We are not liable for indirect or consequential damage. These limitations do not apply in the event of intent or deliberate recklessness on our part, or where limitation is not permitted under mandatory law (including towards consumers).

7. Governing Law & Disputes

Dutch law applies to all agreements with Memonix. Disputes will be submitted to the competent court in the district where Memonix is established, without prejudice to any mandatory right of a consumer to bring proceedings before another court.

This policy explains what we collect, why, and what rights you have. Memonix is the data controller and is registered with the Dutch Chamber of Commerce (KvK) under number 93172540.

Data We Collect

We collect information you provide directly — such as your name, email address, company details and any content you send us — and data generated automatically when you visit our website, such as your IP address, device and browser information, and usage data via functional and analytical cookies.

Why We Process Your Data & Legal Basis

We process your data to respond to enquiries and provide our services (performance of a contract or steps taken at your request), to send information you asked for or that is relevant to our services (consent or legitimate interest), to improve and secure our website (legitimate interest), and to comply with legal obligations such as tax and accounting rules.

Sharing & Storage

We do not sell your personal data. We share it only with processors that help us operate (e.g. hosting, email and analytics providers), who act on our instructions under a data processing agreement. Where data is transferred outside the European Economic Area, we rely on appropriate safeguards such as the EU Standard Contractual Clauses. We keep personal data no longer than necessary for the purposes above or as required by law.

Your Rights

Under the GDPR you have the right to access, rectify, erase, restrict or object to the processing of your personal data, and the right to data portability. Where processing is based on consent, you may withdraw it at any time. To exercise your rights, contact us at [email protected]. You also have the right to lodge a complaint with the Dutch Data Protection Authority (Autoriteit Persoonsgegevens, autoriteitpersoonsgegevens.nl).
